Terms of Sale

These Terms of Sale govern all orders placed on insertwholesale.com (the "Site"). The Site is operated by EDXAD LLC, a limited liability company registered in Delaware, United States, with its address at 8 The Green, Ste B, Dover, DE 19901, United States ("[insert]", "we", "us"). By placing an order you accept these terms.

1. Who we sell to

The Site sells [insert] products at wholesale prices to businesses that resell them or use them in their professional activity: shops, boutiques, concept stores and similar trade buyers. By ordering, you confirm that you are buying for business purposes.

2. Products

Products are embroidered beanies and caps as described on the Site, in one size. Product images on the Site may be illustrations. Slight variations in color, embroidery placement and finish between screen and product, and between production batches, are normal and are not defects.

3. Prices and minimum order

• Prices are in US dollars, per piece, and depend on the quantity ordered of each product in each color (price tiers shown on the Site).
• Shipping is included in the price.
• Prices exclude any applicable taxes, which are payable by the buyer.
• There is no minimum order. Quantities of 1 to 5 of a product in one color are billed at the suggested retail price shown on the Site.
• The price charged is the price shown at checkout. We may change prices at any time for future orders.

4. Ordering and payment

Orders are placed and paid online by card through our payment provider, Stripe. Your order is accepted when payment is confirmed and you receive a confirmation by email. We may refuse or cancel an order, with a full refund, if a product is unavailable, if a pricing error occurred, or if we suspect fraud.

5. Production and delivery

• Each order is embroidered for you after payment and shipped by our production partner directly to the delivery address you provide, in plain packaging.
• Delivery usually takes 10 to 15 business days from payment, with tracking. These times are estimates and are not guaranteed; delays caused by carriers, customs or events beyond our control do not give a right to cancel or to compensation.
• We currently ship within the United States only. You are responsible for providing a correct and complete delivery address. Re-delivery costs caused by an incorrect address are charged to the buyer.
• Risk of loss passes to you on delivery. Ownership passes to you on full payment.

6. Cancellations

Because products are made to order, an order can only be cancelled within 12 hours of payment and before it has been sent to production. Write to us as soon as possible; if production has not started, we refund you in full.

7. Damaged, defective or missing items

Inspect your delivery on arrival. If a piece arrives damaged or defective, or items are missing, send us photos of the products and packaging within 7 days of delivery. After review we will, at our choice, replace the affected items or refund them. We do not accept returns for change of mind, and products should not be sent back without our prior agreement.

8. Refunds

Approved refunds are issued to the original payment method, usually within 5 to 10 business days. Shipping is included in the product price and is refunded in proportion to the refunded items.

9. Designs and intellectual property

The [insert] name, designs and images on the Site are owned by EDXAD LLC. You may resell the products you buy from us and show our product images to promote them. You may not reproduce the designs or the [insert] name on other products.

10. Limitation of liability

To the extent permitted by law, our total liability for any order is limited to the amount you paid for that order, and we are not liable for indirect or consequential losses such as loss of profit, revenue or business.

11. Governing law

These terms are governed by the laws of the State of Delaware, United States. Any dispute will be submitted to the courts located in Delaware, unless mandatory law where you are established provides otherwise.
